3. TERMS & CONDITIONS (READ & INITIAL)
A. RESERVATION OF CAPACITY (THE "KILL SWITCH"): The Client acknowledges that upon signing this Agreement and remitting the Retainer, GSD Media is explicitly foregoing other revenue opportunities to reserve specific dates and personnel for this Project. THEREFORE, THE RETAINER IS STRICTLY NON-REFUNDABLE. This constitutes liquidated damages for the reservation of time, not a penalty.
B. PAYMENT PROTOCOL: Work shall not commence until the Retainer is received. Dates are not held without funds. The Remaining Balance is due prior to the release of final files. Late payments incur interest at 1.5% per month per Wisconsin Law.
C. INTELLECTUAL PROPERTY: Upon full payment, GSD Media grants Client a perpetual license to use Final Deliverables. GSD Media retains ownership of all Raw Footage and Project Files unless agreed otherwise.
D. CANCELLATION & RESCHEDULING: Rescheduling with less than 7 days' notice incurs a $500 Re-Booking Fee. Cancellation after production has commenced requires full payment of the Total Project Value.
E. GOVERNING LAW: This Agreement shall be governed by the laws of the State of Wisconsin. Legal venue shall be exclusively in Wisconsin courts.
